Carrier Participation Agreement

1. Parties and Scope
This Carrier Participation Agreement ("Agreement") is entered into by and between Amerishop Services LLC, a Missouri limited liability company ("Amerishop"), and the insurance carrier or authorized entity participating in the Amerishop Rate Compare marketplace ("Carrier"). This Agreement governs Carrier's participation in the Amerishop Rate Compare platform located at amerishop.biz and associated digital properties.
2. Free Listing and Marketplace Participation
Carrier's initial participation in the Amerishop Rate Compare marketplace, including listing Carrier's brand, logo, tagline, and real-time or estimated rate quotes, is provided at no charge. There are no monthly subscription fees, setup fees, or long-term commitments required to maintain a participating listing.
3. Lead Pricing and Billing
(a) Carrier shall pay a flat fee of twelve dollars ($12.00) per lead ("Lead Fee"). (b) A lead fee is incurred only when Carrier affirmatively chooses to unlock a prospective customer's contact details (name, email, and phone number) within the Amerishop carrier portal. Unworked or locked leads remain free of charge.
4. Payment Terms and Wallet
(a) Carrier may fund lead purchases via a prepaid digital wallet (top-up) or via pay-as-you-go credit card or PayPal transactions. (b) Payments are securely processed through designated payment gateways. Carrier represents and warrants that it is authorized to use any payment method provided.
5. Strict No-Refund Policy
ONCE A LEAD'S CONTACT DETAILS ARE UNLOCKED BY CARRIER, THE TWELVE DOLLAR ($12.00) LEAD FEE IS FINAL AND STRICTLY NON-REFUNDABLE. AMERISHOP MAKES NO GUARANTEES REGARDING LEAD CONVERSION, POLICY ISSUANCE, OR PROSPECT QUALITY. CARRIER EXPRESSLY ASSUMES ALL RISK ASSOCIATED WITH LEAD PURCHASES AND WAIVES ANY RIGHT TO CHARGEBACK OR REFUND.
6. API Integration and Performance Standards
(a) Carriers connecting via application programming interface (API) must maintain a response time of approximately four (4) seconds or less to ensure a seamless consumer comparison experience. (b) If Carrier's API is unresponsive, down, or exceeds acceptable latency thresholds during a shopper query, Amerishop reserves the right to display an estimated price based on historical data to preserve user experience and maintain Carrier's brand visibility.
7. Non-Exclusivity
Carrier acknowledges and agrees that Amerishop Rate Compare is an independent, open-market comparison platform. Amerishop explicitly reserves the right to list competing insurance carriers, products, and rates side-by-side without restriction.
8. Termination
(a) There are no fixed-term contracts. Either Amerishop or Carrier may terminate this Agreement at any time, with or without cause, upon written notice to the other party. (b) Termination shall not relieve Carrier of its obligation to pay any outstanding Lead Fees incurred prior to the effective date of termination.
9. Suspension for Non-Payment
If Carrier fails to maintain a positive prepaid wallet balance, fails to pay any incurred Lead Fee when due, or experiences a payment processing failure, Amerishop reserves the right to immediately suspend Carrier's access to the portal and remove or pause Carrier's rate quotes from the comparison engine without prior notice.
10. Governing Law and Venue
This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of Missouri, without regard to its conflict of laws principles. Any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in Missouri, and Carrier consents to the personal jurisdiction of such courts.
